A corporation’s dissolution can be a difficult and drawn-out process. In order to ensure that all legal requirements are completed, thorough preparation and execution are necessary. This document covers the procedures you must follow if you want to dissolve a corporation in New Hampshire.
Hold a board meeting as the first step
A board meeting to debate and vote on the dissolution is the first stage in dissolving a corporation. The minutes of the meeting should be accurately recorded, and they should include the explanation for the termination. The meeting should be announced to all directors and they should all have the option to attend.
The next step is to submit Articles of Dissolution with the New Hampshire Secretary of State after the board has decided to dissolve the corporation. An authorized officer of the corporation must fill out and sign the Articles of Association. The Articles of Dissolution must be filed for a $25 filing fee.
Step 3: Submit your final tax return to the New Hampshire Department of Revenue. The corporation must submit a final tax return to the New Hampshire Department of Revenue Administration (DRA) after filing the Articles of Dissolution. All taxable income earned up until the dissolution date should be included in this return, which must be submitted within 60 days of the dissolution date.
Step 4: Inform Creditors and Pay Debts The corporation must pay off any outstanding obligations and notify all creditors of its dissolution. This include settling any unpaid taxes, rent, and other debts.
